Squire Patton Boggs is hiring a
mid to senior level Associate with corporate transactional
experience to join its sophisticated corporate practice and be part
of a highly collaborative team. This position will be based in our
Washington, DC office. The individual hired for this position will
have an opportunity to assume significant responsibility in complex
transactional matters for key clients and be part of a growing local
and global team. The candidate can also expect to be involved with a
variety of assignments and receive valuable hands-on experience
across a range of disciplines that generally involve public company
clients, including: mergers and acquisitions, '34 Act SEC filings
(10-Ks, 10-Qs, 8-Ks., etc.), proxy statements, capital markets,
securities offerings, and board/corporate governance matters.
Responsibilities:

Advise firm clients on
mergers and acquisitions, securities offerings, 34 Act compliance,
governance, and other corporate transactional matters

Transaction management and
due diligence
-
Assist with managing client relationships
Academic and Professional Qualifications:
-
U.S. Juris Doctor Degree
-
Admitted to practice in the
District of Columbia and be in good standing (or able to waive
into the DC Bar).

At least 4 years of
meaningful experience in a law firm managing mergers and
acquisitions, securities, and other corporate transactional matters
Professional Skills & Experience:

Experience in mergers and acquisitions
-
Demonstrated ability to draft
purchase agreements, ancillary documents, resolutions and
third-party legal opinions

Experience in US securities
transactional and regulatory matters, including '34 Act
compliance, public and private debt and equity offerings, and
proxy statement preparation

Demonstrated ability to
coordinate transaction teams

Experience managing due
diligence processes and the data room or data site

Experience negotiating
aspects of corporate transactions

Experience supervising junior associates
-
Experience with annual
meeting cycle management and public company governance matters is
not required, but a plus

Experience with complex
commercial contracts is not required, but a plus
