Job Description

Dechert LLP seeks an Associate in New York, NY. As part of the Financial Services practice group, provide legal support for private fund formation team in raising private funds across all major asset classes and strategies, including buyout, credit, growth capital, secondaries, real estate, and funds of funds, among others, for clients ranging from first-time fund managers to large global money managers, in accordance with the Investment Advisers Act and other federal securities laws, including Regulation D offering requirements, exemptions to the Investment Company Act and various non-US securities and investment management laws and regulations. Research legal risks facing clients and develop and recommend legal strategy. Draft, administer, negotiate, and review all legal fund documentation (private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, regulatory filings). Represent clients while managing fund raises from launch to close, including interfacing with clients, investor negotiation (including side letter negotiation, reviewing subscription documentation, and managing subscription process), and closing mechanics. Prepare, review, and conduct legal due diligence and research. Review, direct, and manage work of junior associates and paralegals. Assist partners and senior associates in pro bono legal assignments and participate in firm activities including legal and community organizations and/or functions as needed.

Additional Job Description

J.D. from an accredited U.S. law school, admission to NY state bar, and the following:

• 2 years experience advising on establishing, and putting together documentation for, private equity funds and other private investment funds and addressing issues relating to the Investment Advisers Act and other federal securities laws, including Regulation D offering requirements, and exemptions to the Investment Company Act, in each case, as they apply to private equity funds, other private investment funds and the sponsors of these funds;
• 2 years' experience reviewing and/or assembling disclosures and offering materials relating to non-US securities and investment management laws and regulations as it applies to the formation and establishment of private equity funds and other private investment funds.
• 2 years experience representing clients in complex private fund negotiations.
• 2 years experience preparing private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, regulatory filings.
