Dechert LLP seeks an Associate in New York, NY. As part of the Finance and Real Estate practice group, provide legal work and leadership within teams representing banks, non-banks and specialty finance companies as investors, sponsors, lenders, issuers, managers, and underwriters in highly complex structured finance and securitization transactions. Represent parties in asset finance securitization and collateralized loan obligations. Research legal risks facing clients and develop and recommend legal strategy, and draft, administer, and review legal documents such as correspondence, agreements, and contracts. Advise and represent clients on complex multi-jurisdictional transactions related to asset-backed finance and collateralized loan obligation securitizations. Prepare, review, and conduct legal due diligence and research. Draft and review transaction documents and offering documents. Coordinate with subject matter experts regarding tax, securitization, and ERISA matters. Review, direct, and manage work of junior associates and paralegals with respect to specific transactions. Assist partners and senior associates in pro bono legal assignments and participate in firm activities and communities, including legal and community organizations and/or functions as needed.

Additional
Bachelor's in legal studies or foreign equivalent and NY Foreign Legal Consultant license. In the alternative, Juris Doctor from an U.S. law school and admission to NY state bar. In addition, 4 years of experience in the following are required:
Handling structured finance by representing clients on multi-jurisdictional transaction, related to asset-backed finance and collateralized loan obligation securitizations;
Representing clients in asset finance securitization and collateralized loan obligations ; and
Preparing transaction documents, including offering memorandum and deal management.

Up to 10% domestic travel for meetings and conferences. May work from home consistent with company policy. Wage: $415,000/yr; Apply at https://www.dechert.com/careers.html
