Chapman and Cutler LLP is seeking to hire an Associate or Senior Counsel attorney to join the Special Situations and Restructuring Practice Group (M&A / Private Equity) in the Banking and Financial Services Department. The successful candidate must have at least four (4) years of experience practicing transactional law at a large or medium size firm. While residency in the New York office is preferred, residency at other Chapman offices is possible. Desired experience includes: · Experience with mergers and acquisitions, leveraged buy-outs, and private equity transactions · Experience with joint ventures and minority equity investments · Experience with early stage company equity financing, including seed and Series A round financing, convertible notes, and SAFE (simple agreement for future equity) instruments · Experience with complex equity transactions in distressed situations · Advising both lenders and borrowers on the equity aspects of financing transactions, including warrants and co-investments · Assisting clients with standard corporate matters, including LLC operating agreements and commercial contracts The ideal candidate will have strong academic credentials as well as superior interpersonal, analytical, and writing skills. Commitment to client service is critical, as is the ability to handle fast-paced transactions and juggle multiple projects and deadlines. Successful candidates will project a professional presence, demonstrate flexibility in work situations, and be willing to accept constructive feedback. The successful candidate will work closely with supervising partners in this tight-knit and dynamic group. Candidates must be members in good standing or eligible to waive into the appropriate state Bar. In accordance with the New York Pay Transparency Law, the expected salary range for this New York position is between $250,000 and $415,000.
